# Welcome to RoamFi

**RoamFi is a global eSIM data service platform. It is jointly launched by Japan eSIM Co., Ltd. and TaleX Protocol, and is one of the members of the** [**TaleX**](https://app.talex.world/) **ecosystem.**

{% hint style="success" %}

* RoamFi provides **virtual SIM cards (eSIM)**, allowing users to use mobile data services directly on their smartphones **without purchasing physical SIM cards** or paying **expensive roaming fees**.
* RoamFi offers **global coverage across more than 200 countries and regions**.
  {% endhint %}

RoamFi is the world's first **Real-World Business (RWB)** project that effectively realizes the following concepts:

* **Proof-of-Purchase (PoP)**
* **Token Replacing Loyalty Points**
* **Treasury as Liquidity Pool**

\
RoamFi is a project that effectively implements the **“Proof-of-Purchase (PoP)”** concept.\
RoamFi functions as a **Decentralized Autonomous Organization (DAO)** with its **community governance token — $RF**. The $RF token can only be issued through **fiat-based payments within RoamFi’s services**, with a defined portion of tokens allocated for the **Token Generation Event (TGE)** at the initial stage.

\
RoamFi is a project that effectively implements the **“Tokens Replacing Loyalty Points”** concept.\
Users can earn $RF token rewards by **purchasing mobile data services within the app** or by **referring others to RoamFi’s services**.

\
RoamFi is a project that effectively realizes the **“Treasury as Liquidity Pool”** concept.\
Its financial operations are **transparent and open in real time** — **all net cash flows are converted into governance tokens ($RF)** and stable ecosystem tokens (such as $BNB or $BTC), then **deposited as liquidity into public smart contracts**. The use of treasury assets is determined through **community governance**.

{% hint style="success" %}
All holders of RoamFi’s governance token **$RF** can trade other tokens directly from the liquidity pool at any time.
{% endhint %}

This model **links user spending, business net cash flows, financial transparency, and tokenized equity extraction**, creating a **win-win relationship between users and the project itself**. Other ecosystem partners can easily join this cooperative network through encrypted tokens.

# eSIM

**eSIM (Embedded SIM)** is a programmable chip embedded within a device.\
Users can activate or switch network services by remotely downloading carrier profiles — without replacing a physical SIM card.

Compared to traditional SIM cards, eSIM technology:

* Eliminates the need for logistics and physical delivery.
* Supports storing multiple carrier profiles on one device.
* Allows switching between networks at any time with ease.

Based on this technology, **RoamFi** provides cross-border data services across multiple global regions, making international connectivity more convenient and flexible.

Currently, RoamFi’s eSIM service focuses exclusively on **mobile data access**, featuring the following characteristics:

* **Data-only service:** Voice calls and phone numbers are not included.
* **No KYC required (Know Your Customer):** Users can register using only an email address, ensuring privacy protection and a low entry barrier.
* **No network restrictions:** Users can freely access global internet resources for an open and flexible browsing experience.

# Service Regions and Pricing

RoamFi offers two usage modes — **FLEX (pay-as-you-go)** and **FIX (prepaid packages)** — to meet the diverse needs of global users.

### FLEX (Pay-as-you-go)

Users can top up their account balance first.\
The system deducts fees based on actual data consumption at a fixed per-GB rate.\
The remaining balance never expires and can be used across all supported regions.\
This model is ideal for short-term travelers or users with light data needs.

### FIX (Prepaid Packages)

Users can directly purchase preset data packages and pay a one-time fee per package.\
Alternatively, users can use their account balance to complete the payment.\
Each package includes a specific data quota and validity period.\
Once the quota or duration expires, a new package can be purchased.\
This model is suitable for users with stable or long-term data usage needs.

# Governance Token $RF

The native cryptographically-secure fungible RoamFi DAO token (ticker symbol $RF) is a transferable representation of attributed utility functions specified in the RoamFI DAO, and which is designed to be used solely as an interoperable utility token thereon.

$RF is a functional multi-utility token which will be used as a unit of account and economic incentive which will be distributed to encourage users to exert efforts towards contribution and participation in the RoamFi DAO, thereby creating a mutually beneficial community where every participant is fairly compensated for its efforts. $RF is an integral and indispensable part of RoamFi DAO, because without $RF, there would be no incentive for users to expend resources to participate in activities or provide services for the benefit of the DAO. Given that additional $RF will be awarded to a user based only on its actual usage, activity and efforts made on RoamFi and/or proportionate to the frequency and volume of consumption, users of RoamFi and/or holders of $RF which did not actively participate will not receive any $RF incentives.

$RF does not in any way represent any shareholding, ownership, participation, right, title, or interest in the Company, the Distributor, their respective affiliates, or any other company, enterprise or undertaking, nor will $RF entitle token holders to any promise of fees, dividends, revenue, profits or investment returns, and are not intended to constitute securities in the United States, British Virgin Islands, Singapore or any relevant jurisdiction. $RF may only be utilized on RoamFi, and ownership of the same carries no rights, express or implied, other than the right to use $RF as a means to enable usage of and interaction within RoamFi. The secondary market pricing of $RF is not dependent on the effort of the RoamFi team, and there is no token functionality or scheme designed to control or manipulate such secondary pricing.

For the avoidance of doubt, neither the Company nor the Distributor deals in, or is in the business of buying or selling any virtual asset or digital payment token (including $RF). Any sale or distribution of tokens would be performed during a restricted initial period solely for the purpose of obtaining project development funds, raising market/brand awareness, as well as community building and social engagement; this is not conducted with any element of repetitiveness or regularity which would constitute a business.

$RF token adopts a [**user-driven business model**](https://x.com/TaleX_chain/status/1882776912692387889) and is classified as a **Real-World Business (RWB)** asset. After the Token Generation Event (TGE), all users who make **fiat-based purchases** within the RoamFi ecosystem, or **recommend others** to purchase RoamFi-related services, will receive governance token $RF as reward, based on their spending and interactions:

{% stepper %}
{% step %}

### Issuance and Distribution

The total issuance of $RF is <kbd>**1,000,000,000**</kbd> tokens, and all tokens collectively constitute the RoamFi DAO treasury. Its allocation is designed as follows:

* **0% — Team Allocation:**\
  There is no preset team incentive. The team must also obtain tokens through fiat-based purchases within the RoamFi ecosystem, following the *“No Pays, No Gains”* principle.\
  The team’s operational income is covered through standard operating revenue.
* **10% — Liquidity Pool:**\
  Allocated for establishing liquidity pools to ensure the liquidity and stability of $RF in secondary markets.
* **90% — Community Incentives:**\
  Used to reward users and partners for participation and contribution, promoting ecosystem expansion and sustainable growth.

This distribution structure embodies RoamFi’s **community-first governance philosophy**, ensuring decentralization while reinforcing the cultural principle that participation and contribution are the only paths to gain — ***“No Pays, No Gains”.***
{% endstep %}

{% step %}

### Treasury Function

At the same time, $RF serves as the **primary reserve asset** of the RoamFi Treasury.\
The project’s net cash flow is stored in $RF, forming on-chain treasury assets and ensuring a direct connection between governance and financial performance.
{% endstep %}

{% step %}

### Governance Function

RoamFi operates as a **Decentralized Autonomous Organization (DAO)**, with **$RF** serving as its core governance token.\
Community members holding $RF can participate in governance voting, exercise decision-making power, and collectively drive the development of the ecosystem.
{% endstep %}
{% endstepper %}

# Core Concepts

# Proof-of-Purchase (PoP)

The concept of **Proof-of-Purchase** was first proposed by the [TaleX](https://app.talex.world/) project, and RoamFi is the first project to formally implement this concept.

Classical economics has long considered that market demand is the source of everything, and the slogan “the customer is king” has been widely spread. However, demand has always been regarded as a random and passive behavior that cannot be accurately measured or empowered. No one has ever considered demand itself to be an economic resource qualified to participate in distribution.

This has led to demand being ignored for a long time in the process of wealth distribution.

Today, computers and blockchain technology have changed this issue. Tokens can be issued based on **Proof-of-Purchase** from demand-side participants, tracking the generation of business cash flow, and further driving the growth of cash flow through token incentives.

Specifically:

* Every real-world purchase (purchasing mobile data, buying coffee, taking a ride, using SaaS services) can be precisely recorded and synchronized on-chain.
* Tokens are no longer issued through meaningless computational mining or out of thin air. Every real-world purchase becomes the source of token issuance.
* Businesses inject the cash flow obtained from sales into the on-chain treasury as liquidity pool, linking it directly to token value.
* The treasury as liquidity pool becomes a transparent bridge between businesses and their users, forming a verifiable and sustainable growth cycle.

This logic creates an entirely new business model:

{% hint style="success" %}
**Purchase → Cash Flow Generation → Token Rewards → Users Benefit → More Purchases → More Cash Flow**
{% endhint %}

In this logic, purchases are no longer passive but become an active, consensus-forming force: they drive the growth of on-chain liquidity, enhance the transparent business treasury, and firmly anchor digital assets to product sales. This not only removes the embarrassment of “airdrops” (tokens issued without backing), but also makes purchasing behavior the true center of value.

# Tokens Replacing Loyalty Points

The concept of “Tokens Replacing Loyalty Points” was first proposed by the [TaleX](https://app.talex.world/) project, and RoamFi is the first project to formally implement this concept.

### 1. Limitations of Loyalty Points

Traditional consumer incentive systems typically issue **loyalty points** to attract users and increase retention.\
However, this model has significant structural flaws:

* **No distinction between early and late users:**\
  Regardless of when users join, the point value remains constant, failing to reward early supporters.
* **Unlimited issuance, constant devaluation:**\
  Points have no cap. Continuous issuance leads to inflation and loss of value.
* **Cash flow pressure:**\
  Users tend to redeem points as quickly as possible to avoid devaluation, which creates liquidity pressure on the business.

This zero-sum dynamic pits users and the business against each other — what benefits one often harms the other — making win-win outcomes nearly impossible.

### 2. Advantages of Token Incentives

Replacing points with tokens fundamentally transforms the incentive mechanism:

* **Scarcity and value potential:**\
  Tokens have a limited total supply, often following a decreasing issuance model.\
  As the project grows, token value may increase — rewarding early users and long-term holders.
* **Reduced redemption pressure:**\
  Users are more inclined to hold tokens in anticipation of appreciation rather than redeem them immediately, alleviating cash flow stress for the business.
* **Market-based pricing:**\
  Tokens can circulate freely on secondary markets, where prices reflect real-time market sentiment — creating a transparent and efficient feedback mechanism.

As the project grows and the token price appreciates, two outcomes occur simultaneously:

1. User enthusiasm and consumption rise.
2. The business gains stronger incentive power.

This synergy establishes a **true win-win model** between users and the project.

# Treasury as Liquidity Pool

### 1. The Significance of an Public Treasury

In traditional corporate operations, company treasuries are typically hidden in private bank accounts, accessible only to a few members of senior management. Even with modern auditing systems capable of issuing periodic reports, it remains impossible to display a company’s financial status in real time.

For companies that are not publicly listed, audits are not only time-consuming but also costly — often unaffordable. Yet these companies already maintain close relationships with investors, partners, and users, all of whom demand greater financial transparency.

Blockchain technology provides a revolutionary solution to this problem. As long as company assets exist in the form of tokens, they can be transparently presented on-chain and verified by anyone at any time, without incurring additional costs. This mechanism drastically reduces trust barriers and significantly enhances the company’s credibility among investors and partners.

{% hint style="info" %}
**RoamFi DAO multi-signature treasury address:** 0xf672147aB04Efd569A37ec8D654327d9Cf656263
{% endhint %}

### 2. Treasury Composition

For any organization that issues a governance token and adopts the “Tokens Replacing Loyalty Points” mechanism to incentivize consumers, **treasury transparency** is essential. Accordingly, the treasury’s assets should primarily consist of crypto tokens.

{% hint style="info" %}
As the issuer of the governance token **$RF**, RoamFi’s primary reserve asset is $RF itself. However, in order to maintain the market stability of $RF and to mitigate volatility-driven price fluctuations, the treasury will also include other reserve assets:

* **$BNB** — The governance token of the BNB Chain, the core ecological asset that RoamFi is built upon.
* **$BTC** — The foundational asset of the blockchain industry and its primary store of value.
  {% endhint %}

This configuration enhances the overall stability of the treasury while allowing it to share in the growth of the surrounding ecosystems.

### 3. Treasury Enhancement

RoamFi will take **cash flows generated from fiat-based purchases** — after deducting taxes and supplier costs — and convert the resulting **net cash flows** into crypto assets on a **daily basis**, depositing them into the multi-signature treasury.

{% hint style="info" %}
Initial asset storage ratio: **$RF : $BNB = 1 : 1**
{% endhint %}

This ratio, as well as the composition of treasury assets, can later be **adjusted through community governance**, ensuring flexibility and adaptability to market conditions.

### 4. Treasury usage Rules

RoamFi will publish **monthly financial reports and budgets**. All treasury expenditures must follow the approved budget and will be reconciled at the end of each month. When necessary, additional withdrawals or replenishments from the treasury will be conducted.

Asset withdrawals must follow the **same proportion** as the initial deposits — meaning $RF, $BNB, and $BTC must be withdrawn proportionally to maintain structural stability within the treasury.

### 5. Treasury as Liquidity Pool

**AMM (Automated Market Maker)** technology represents a major innovation in blockchain, enabling a treasury to exist as a **liquidity pool** with **real-time external trading capabilities**.

{% hint style="info" %}
RoamFi will be among the first projects to implement this model in collaboration with TaleX. All treasury assets will be added to liquidity pools via decentralized exchanges (DEX), configured as follows:

* **$RF : $BNB (100%)**
  {% endhint %}

This mechanism not only ensures the liquidity of $RF but also enables all token holders to freely exchange $RF for other assets at any time via the liquidity pool.

In the equity era, shareholder ownership lacked a direct, real-time connection to a company’s net assets. The **“liquid treasury”** model bridges this gap for the first time — establishing an **immediate linkage between tokens and enterprise assets**, pioneering a new paradigm for **decentralized governance**.

# Consumption, Treasury, and Growth Linkage

The **tradable nature of tokens** allows them to become the **core reserve assets** of a project’s on-chain treasury.

This mechanism directly connects consumer spending with project growth:

| Consumer Action      | Business Result                  |
| -------------------- | -------------------------------- |
| More purchases →     | Higher project revenue           |
| Higher revenue → | More tokens stored in treasury |
| Larger reserves → | Stronger token price support |
| Rising token value → | Direct benefit for token holders |

For the first time, consumers experience that **spending not only grants product access but also generates value** for themselves.\
This alignment fosters stronger user engagement, higher sales, and a **positive cycle of shared growth** between businesses and their customers.

#### Comparison: Loyalty Points vs. Tokens

| Dimension               | Loyalty Points                                                   | Tokens                                                                                       |
| ----------------------- | ---------------------------------------------------------------- | -------------------------------------------------------------------------------------------- |
| **Issuance Mechanism** | Unlimited issuance, continuous inflation, leading to devaluation | Limited total supply, or decreasing issuance model, ensuring scarcity |
| **Value Stability** | Continuously devalues over time | Potential to appreciate with project development and market demand |
| **User Incentives** | No difference between early and late users | Early users have more opportunities to gain additional benefits |
| **Liquidity** | Can only be consumed or redeemed within the project | Freely tradable on secondary markets, with asset properties |
| **Price Discovery** | No market price, only determined by the project party | Market-based pricing, transparent and public |
| **Impact on Cash Flow** | Users tend to use points quickly, causing cash flow pressure | Users tend to hold long-term, relieving pressure on cash flow |
| **User Experience** | Expires once used, no asset property | Can appreciate in value, consumption becomes acquiring tangible value, forming positive loop |
| **Project Value Link** | Detached from project growth | Treasury-reserved tokens directly link consumption with growth |

# Token Incentive Rules

### 1. Basic Unit

* Each fiat-based purchase triggers $RF token rewards.
* The initial reward pool is **2,000,000 $RF tokens**, i.e., for every $1 spent, users receive on average **200 $RF tokens**.
* For cumulative sales up to $100,000, the decay step is $10,000. For $100,000–$1,000,000, the decay step is $100,000. For $1,000,000–$10,000,000, the decay step is $1,000,000, and so on.
* The decay factor is **0.83**.

### 2. Decay Mechanism (cycle of $10,000 sales)

* First $10,000 sales: reward = **2,000,000 tokens**.
* Second $10,000 sales: reward = **2,000,000 × 0.83**.
* Third $10,000 sales: reward = **2,000,000 × 0.83²**.
* And so on, until the 10th $10,000 (total $100,000 in sales is completed).

### 3. Progressive Tiers (cycle of $100,000 sales)

After reaching $100,000 in sales, the next phase rewards are scaled up proportionally:

* Second $100,000 sales: reward = (10th $10,000 reward) × 10 × 0.83.
* Third $100,000 sales: reward = (previous phase reward) × 0.83.
* And so on, until the 10th $100,000 (total $1,000,000 in sales).

### 4. Higher Tiers ($1M, $10M, $100M, ...)

The same rules apply. In each large cycle, the 2nd phase reward = (last reward of previous cycle) × 10 × 0.83. All subsequent rewards continue to decay by a factor of 0.83.

### 5. User Distribution Method

Each sales phase reward ***R******n*** is distributed among users in proportion to their share of sales in that phase.

$$
U\_i = R\_n \times \frac{C\_i}{\sum\_j C\_j},
$$

Where:

* ***U*****𝑖** = number of tokens received by user 𝑖
* **𝐶****𝑖** = spending of user 𝑖 in this phase
* **∑****𝑗****𝐶****𝑗** = total spending of all users in this phase

## Key Design Features

* **Maximum Early Incentives:** \
  The first $10,000 in sales has the highest reward (2,000,000 tokens), attracting early users to participate quickly.
* **Gradual Decay Per Unit Consumption:**\
  Rewards decrease progressively with a **0.83 coefficient**.
* **Scaled Reset at Higher Tiers:**\
  Each new larger sales tier resets rewards based on the last reward of the previous cycle, multiplied before continuing decay.
* **Layered Exponential Decay Model:**\
  Ensures long-term scarcity of the token supply.

# Referral Incentive Distribution Mechanism

To encourage users to share RoamFi services, drive organic growth, and build a sustainable referral network, RoamFi introduces a **multi-tier token reward system** based on hierarchical relationships.

Whenever token rewards are generated from fiat-based purchases within the RoamFi ecosystem, a portion of those rewards is automatically distributed to the user’s referrers (uplines), establishing a **self-propagating incentive model** that supports long-term ecosystem expansion.

### Reward Distribution Ratio

Each transaction that generates token rewards will be distributed as follows:

| Role             | Distribution Ratio |
| ---------------- | ------------------ |
| Consumer         | 80.0%              |
| Level 1 Referral | 16.0%              |
| Level 2 Referral | 3.3%               |
| Level 3 Referral | 0.6%               |
| Level 4 Referral | 0.1%               |

**Notes:**

* Tokens are distributed instantly according to the ratios above, while the upline-downline binding relationship remains valid for **three years**.
* If a user joins RoamFi without a referral, the corresponding upline reward portion is **donated to the ecosystem pool**, to be used for future ecosystem incentives and development initiatives.

This **referral fission model** is designed to:

* Encourage early users to actively share and promote RoamFi.
* Build a network of users based on trust and mutual benefit.
* Increase user engagement, retention, and platform activity.
* Expand RoamFi’s influence through social recommendations, achieving **low-cost, high-efficiency growth**.

# Token-based Consumption

In traditional business models, consumers pay for products and services at a price that includes a markup over cost, while profits are typically distributed back to **shareholders** through dividends.

RoamFi redefines this mechanism — when users **hold and spend the governance token $RF**, they receive **direct value benefits** from their consumption. This approach extends the concept of value sharing beyond shareholders to **all token holders**.

### Mechanism Design

* When users exchange $RF for account balance ($RUSD) and use it for consumption, the system converts $RF to $RUSD **at a 1:1 market rate**, and provides an **additional 20% bonus** in $RUSD balance.
* This mechanism not only encourages users to choose $RF as a preferred payment method, but also reinforces the alignment between **token utility**, **governance rights**, and **value growth**.

### Advantages and Impact

* **User Incentives:**\
  Expands real-world use cases for the governance token and increases demand, strengthening token value and circulation.
* **Governance Integration:**\
  Aligns token ownership with real consumption activity — uniting governance rights and usage rights under one ecosystem.
* **Operational Efficiency:**\
  Payments made in $RF can be directly stored in the project’s on-chain treasury without complex conversion processes, improving efficiency and security of fund management.

This mechanism not only brings **immediate benefits to users**, but also enhances the **practical value and utility** of $RF — creating a **positive feedback loop** connecting **consumption, governance, and treasury growth**.

You may be required to register in order to use the Services. You agree to keep your password confidential and are responsible for all activities that occur under your account and password. We reserve the right, at our sole discretion, to delete, reclaim, or change the username you choose.

### Purchases and Payment

Certain Services may be purchased through the packages or plans described on our website or in our documentation. Such Services may include credits or rights to access or use the Services under certain time periods or conditions (for example, a number of days or data usage).

Service packages, rights, fees, and credits are **not exchangeable for cash, non-refundable, and non-cancellable**, unless otherwise provided in these Terms, our policies, or required by applicable laws or regulations.

As you use the Services, your account balance will decrease based on usage. Some service plans may include maximum usage within a specified time (e.g., up to xx days or xx GB within 12 months), with fees prepaid or recurring. If you do not use the maximum allowance, there will be no refund.

Depending on the specific Services you purchase, unused allowances may or may not carry over to the next period.

**Service plans include but are not limited to:**

* **RoamFi FLEX:** usable in any supported country, billed by specified days and/or data.
* **RoamFi FIX:** valid for a specified period starting from purchase or activation (e.g., 30 days from activation), with unused allowances expiring.
* And other Services or packages we may offer from time to time.

Our Service plans are further described. You should carefully select the plan suitable for you. If you do not fully use your purchased allowance, you will generally not receive a refund unless otherwise explicitly stated or required by law. Some packages remain valid long-term, as described in the plan.

If you do not use your Service plan for an extended period (e.g., 12 months, or another period determined by RoamFi), your account may be marked as “inactive.” You may reactivate it under these Terms and policies through the methods we provide.

**We accept the following payment methods** (subject to change or processing via third-party platforms):

* Visa
* Mastercard
* American Express
* Discover
* Apple Pay
* Google Pay

You agree to provide accurate, complete, and up-to-date payment and account information and to promptly update it when necessary (including email, payment method, and card expiration date), so that we can complete transactions and contact you when needed.

The terms of use related to your payment method are separately agreed between you and the payment service provider (such as your issuing bank or third-party platform). You should determine your related rights and obligations under that agreement, not under these Terms.

All prices are **exclusive of taxes**. You are responsible for all sales tax, VAT, or other taxes incurred in connection with your use of the Services or transactions (excluding our U.S. income tax). We may collect applicable taxes at the time of payment processing.

We may change service plans, prices, and terms at any time. All payments are denominated in U.S. dollars and are non-refundable and non-cancellable unless otherwise specified.

You agree to pay all fees required for valid orders (including shipping, handling, or taxes), and you authorize us to directly charge your selected payment method.

If your order involves recurring or renewal charges, you agree that we may automatically charge at each cycle or renewal until you cancel. You may cancel future renewals in accordance with these Terms, our website instructions, or by contacting us.

We reserve the right to correct any errors in service plans, pricing, or fees even if payment has been requested or received.

We reserve the right to refuse any activation request or order, and we may also limit or cancel purchases per customer, per account, per payment method, or per address. We may also limit or reject orders that we believe are from dealers, resellers, or distributors.

### Limitation of Liability

In no event shall we, our directors, employees, or agents be liable to you or any third party for any **direct, indirect, consequential, exemplary, incidental, special, or punitive damages** (including lost profits, lost revenue, lost data, or other losses) arising from your use of the Services, even if we have been advised of the possibility of such damages.

Notwithstanding anything to the contrary, our total liability to you (regardless of cause or form of action) shall always be limited to the amount you paid us in the six (6) months prior to the event giving rise to liability. This is a total limit, not per incident.

Certain Hong Kong and international laws do not allow limitations on implied warranties or exclusions or limitations of certain damages. If such laws apply to you, some of the above disclaimers or limitations may not apply, and you may have additional rights.

For example, nothing in these Terms shall limit Hong Kong consumers’ rights under the **Consumer Goods Safety Ordinance (Cap. 456)**, **Sale of Goods Ordinance (Cap. 26)**, **Control of Exemption Clauses Ordinance (Cap. 71)**, or other consumer protection laws.

### Indemnification

You agree to defend, indemnify, and hold harmless us, our subsidiaries, affiliates, officers, agents, partners, and employees from and against any loss, damage, liability, claim, or demand (including reasonable attorneys’ fees and expenses) made by any third party due to or arising from:

* your access to or use of the Services (unless caused by our intentional misconduct or gross negligence in providing the Services);
* your violation of these Terms (including your representations and warranties hereunder);
* your data, information, or content (including infringement of third-party intellectual property or privacy rights);
* any harmful conduct by you toward other users connected via the Services.

Notwithstanding the foregoing, we reserve the right, at your expense, to assume exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense. We will use reasonable efforts to notify you of any such claim, suit, or proceeding upon becoming aware of it.

### Electronic Communications, Transactions, and Signatures

Accessing or using the Services, sending us emails, and filling out online forms constitute **electronic communications**. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications provided via email or the Services satisfy any legal requirement for written form.

You hereby consent to the use of **electronic signatures, electronic contracts, electronic orders, and other electronic records**, and agree that we may deliver notices, policies, and transaction records electronically. You waive any rights under any jurisdiction that require an original signature, non-electronic records, or non-electronic payments.

### Miscellaneous

These Terms, any supplemental terms we publish for specific service plans or Rewards, and any policies or operating rules posted by us on the Services constitute the entire agreement between you and us.

Our failure to exercise or enforce any right or provision shall not constitute a waiver of that right or provision.

These Terms are valid to the maximum extent permitted by law. We may assign or delegate our rights and obligations under these Terms at any time.

We are not liable for delays or failures to perform due to causes beyond our reasonable control.

If any provision of these Terms is found illegal, invalid, or unenforceable, that provision shall be severable and modified to reflect the parties’ original intent as closely as possible within the law, without affecting the validity of the remaining provisions.

### Validity of Token Documentation and Services

Nothing in the Token Documentation or the Services constitutes any offer by the Company, the Distributor, or the RoamFi team to sell any $RF (as defined herein) nor shall it or any part of it nor the fact of its presentation form the basis of, or be relied upon in connection with, any contract or investment decision. Nothing contained in the Token Documentation or the Services is or may be relied upon as a promise, representation or undertaking as to the future performance of RoamFi. The agreement between the Distributor (or any third party) and you, in relation to any distribution or transfer of $RF, is to be governed only by the separate terms and conditions of such agreement. The information set out in the Token Documentation and the Services is for community discussion only and is not legally binding. No person is bound to enter into any contract or binding legal commitment in relation to the acquisition of $RF, and no digital asset or other form of payment is to be accepted on the basis of the Token Documentation or the Services. The agreement for distribution of $RF and/or continued holding of $RF shall be governed by a separate set of Terms and Conditions or Token Distribution Agreement (as the case may be) setting out the terms of such distribution and/or continued holding of $RF (the Terms and Conditions), which shall be separately provided to you or made available on the Services. The Terms and Conditions must be read together with the Token Documentation. In the event of any inconsistencies between the Terms and Conditions and the Token Documentation or the Services, the Terms and Conditions shall prevail.

By accessing the Token Documentation or the Services (or any part thereof), you shall be deemed to represent and warrant to the Company, the Distributor, their respective affiliates, and the RoamFi team as follows:

(a) in any decision to acquire any $RF, you have not relied and shall not rely on any statement set out in the Token Documentation or the Services;

(b) you shall at your own expense ensure compliance with all laws, regulatory requirements and restrictions applicable to you (as the case may be);

(c) you acknowledge, understand and agree that $RF may have no value, there is no guarantee or representation of value or liquidity for $RF, and $RF is not an investment product nor is it intended for any speculative investment whatsoever;

(d) none of the Company, the Distributor, their respective affiliates, and/or the RoamFi team shall be responsible for or liable for the value of $RF, the transferability and/or liquidity of $RF and/or the availability of any market for $RF through third parties or otherwise; and

(e) you acknowledge, understand and agree that you are not eligible to participate in the distribution of $RF if you are a citizen, national, resident (tax or otherwise), domiciliary and/or green card or permanent visa holder of a geographic area or country (i) where it is likely that the distribution of $RF would be construed as the sale of a security (howsoever named), financial service or investment product and/or (ii) where participation in token distributions is prohibited by applicable law, decree, regulation, treaty, or administrative act (including without limitation the United States of America, Canada, and the People's Republic of China); and to this effect you agree to provide all such identity verification document when requested in order for the relevant checks to be carried out.

The Company, the Distributor and the RoamFi team do not and do not purport to make, and hereby disclaims, all representations, warranties or undertaking to any entity or person (including without limitation warranties as to the accuracy, completeness, timeliness, or reliability of the contents of the Token Documentation or the Services, or any other materials published by the Company or the Distributor). To the maximum extent permitted by law, the Company, the Distributor, their respective affiliates and service providers shall not be liable for any indirect, special, incidental, consequential or other losses of any kind, in tort, contract or otherwise (including, without limitation, any liability arising from default or negligence on the part of any of them, or any loss of revenue, income or profits, and loss of use or data) arising from the use of the Token Documentation or the Services, or any other materials published, or its contents (including without limitation any errors or omissions) or otherwise arising in connection with the same. Prospective acquirors of $RF should carefully consider and evaluate all risks and uncertainties (including financial and legal risks and uncertainties) associated with the distribution of $RF, the Company, the Distributor and the RoamFi team.

### $RF Token

$RF are designed to be utilized, and that is the goal of the $RF distribution. In particular, it is highlighted that $RF:

(a) does not have any tangible or physical manifestation, and does not have any intrinsic value/pricing (nor does any person make any representation or give any commitment as to its value);

(b) is non-refundable, not redeemable for any assets of any entity or organization, and cannot be exchanged for cash (or its equivalent value in any other digital asset) or any payment obligation by the Company, the Distributor or any of their respective affiliates;

(c) does not represent or confer on the token holder any right of any form with respect to the Company, the Distributor (or any of their respective affiliates), or their revenues or assets, including without limitation any right to receive future dividends, revenue, shares, ownership right or stake, share or security, any voting, distribution, redemption, liquidation, proprietary (including all forms of intellectual property or licence rights), right to receive accounts, financial statements or other financial data, the right to requisition or participate in shareholder meetings, the right to nominate a director, or other financial or legal rights or equivalent rights, or intellectual property rights or any other form of participation in or relating to RoamFi, the Company, the Distributor and/or their service providers;

(d) is not intended to represent any rights under a contract for differences or under any other contract the purpose or intended purpose of which is to secure a profit or avoid a loss;

(e) is not intended to be a representation of money (including electronic money), payment instrument, security, commodity, bond, debt instrument, unit in a collective investment or managed investment scheme or any other kind of financial instrument or investment;

(f) is not a loan to the Company, the Distributor or any of their respective affiliates, is not intended to represent a debt owed by the Company, the Distributor or any of their respective affiliates, and there is no expectation of profit nor interest payment; and

(g) does not provide the token holder with any ownership or other interest in the Company, the Distributor or any of their respective affiliates.

Notwithstanding the $RF distribution, users have no economic or legal right over or beneficial interest in the assets of the Company, the Distributor, or any of their affiliates after the token distribution.
